General Terms and Conditions
with customer information from S. Siedle & Söhne Telefon- und Telegrafenwerke OHG for the sale of licence keys.

1. Scope of validity, definitions
1.1 These General Terms and Conditions (hereinafter referred to as "T&Cs") of S. Siedle & Söhne Telefon- und Telegrafenwerke OHG, Bregstraße 1, 78120 Furtwangen (hereinafter referred to as "licenser"), apply to all contracts concluded with the licenser by a company (hereinafter referred to as “licensee”) with a registered office in Germany with regard to the products presented by the licenser in its online shop at www.siedle.de. The inclusion of the licensee’s own terms is herewith excluded, unless otherwise agreed.
1.2 A company in the context of these T&Cs is a natural or legal person or a partnership with legal capacity that, in concluding a legal transaction, is acting within the scope of their commercial or independent business activities, and works in the electrical trade or the field of system integration.
1.3 An end user in the context of these T&Cs is a natural or legal person or a partnership with legal capacity that uses a terminal with pre-installed software from the licenser.
1.4 A product in the context of these T&Cs is a licence key which permits the licensee, by granting corresponding necessary usage rights, to activate additional licences for end users within specific limits as well as activate specific additional functions of a software from the licenser already pre-installed on the end user's terminal.

2. Registration, conclusion of contract
2.1 In order to purchase products in the licenser’s online shop, the licensee must first register for the licenser’s online shop by providing their personal details. To do so, the licensee must fully complete the mandatory fields in the online formula provided for this by the licenser in their online shop and submit this by clicking the button which concludes the registration process. Registration is reserved exclusively for companies as defined under clause 1.2. The licenser reserves to the right to check the corporate status of the licensee based on suitable evidence and to refuse registration to the licensee if necessary. The licensee is obligated to provide complete and accurate information during registration.
2.2 The product descriptions presented in the licenser’s online shop do not constitute binding offers by the licenser, instead they simply serve as a basis for the submission of an offer by the licensee.
2.3 The licensee can submit an offer using the online ordering form integrated into the licenser’s online shop. In doing so, after the licensee has placed the selected products in the virtual shopping basket and gone through the electronic ordering process, by clicking the button that completes the ordering process, the licensee submits a legally binding contractual offer in relation to the products in the shopping basket.
2.4 The licenser can accept the licensee’s offer within five days,
• by sending the licensee a written order confirmation or order confirmation in text form (fax or email), if receipt of an order confirmation by the licensee is authoritative or
• by requesting payment from the licensee after submission of their order, or
• by giving the licensee the ordered licence key.
If several of the stated alternatives are used, then the contract comes into effect at the point at which one of the stated alternatives first occurs. If the licenser does not accept the offer of the licensee within the specified period, then this is regarded as a rejection of the offer, with the effect that the licensee is no longer bound by his declaration of intent.
2.5 The period for accepting the order begins on the day after the offer is sent by the licensee and ends with the end of the fifth day following the sending of the offer.
2.6 If an offer is submitted via the licenser’s online order form, the contract wording is saved by the licenser and sent to the licensee after his order has been dispatched along with these T&Cs in text form (e.g. email, fax or letter). Furthermore, the contract wording on the licenser’s website is archived and can also be called up by the licensee, including after his order has been dispatched, via his password-protected user account.
2.7 Before the licensee submits a binding order via the licenser’s online order form, the licensee can correct their inputs throughout the order process with the usual keyboard and mouse functions. In addition, all inputs are shown once again in a confirmation window before a binding order is submitted where they can also be corrected with the usual keyboard and mouse functions.
2.8 The contract can only be concluded in the German language.
2.9 Order processing and contact are carried out via email and an automated order process. The licensee must ensure that he provides the correct e-mail address for order processing so that all e-mails from the licenser sent to this address are received. In particular, when using SPAM filters, the licensee must ensure that all emails from the licenser or third-parties entrusted with the order processing by the licenser can be received.

3. Subject of the contract
The subject of the contract results from the relevant product description in the licenser’s online shop. If not otherwise described there, the licenser owes the licensee a licence key which permits the licensee, by granting corresponding necessary usage rights, to permanently activate additional licences for users (user licences) within specific limits as well as, if applicable, permanently activate specific additional functions (application licences) of a software from the licenser already pre-installed on the end user's terminal.

3.1 User licences
• BLC 250-0 bus licence client (SG 650-0):
The licenser’s service consists of the provision of a license key which permits the licensee, by granting corresponding necessary usage rights, to permanently activate 1 additional user each (Siedle devices or third-party devices) for the software installed on an SG 650-0 in version 1.x.
• ALB 270-0 S Access basic licence S (Siedle Access 3.x):
The licenser’s service consists of the provision of a license key which permits the licensee, by granting corresponding necessary usage rights, to permanently activate 50 users (Siedle devices or third-party devices) for the Siedle Access software installed on a physical server in version 3.x. For software products and for integrating non-Siedle products or systems, additional application licences are required.
• ALB 270-0 M Access basic licence M (Siedle Access 3.x):
The licenser’s service consists of the provision of a license key which permits the licensee, by granting corresponding necessary usage rights, to permanently activate 320 users (Siedle devices or third-party devices) for the Siedle Access software installed on a physical server in version 3.x. For software products and for integrating non-Siedle products or systems, additional application licences are required.
• APR 670-0 (Siedle Access Professional 4.x):
The licenser’s service consists of the provision of a license key which permits the licensee, by granting corresponding necessary usage rights, to permanently activate 10, 20, 40, 80, 160 or 320 users (Siedle devices or third-party devices) for the Siedle Access Professional software installed on a physical or virtual server in version 4.x. For software products and for integrating non-Siedle products or systems, additional application licences are required.

3.2. Application licences (Siedle Access 3.x or 4.x)
The licenser’s service with regard to application licences consists of the provision of a license key which permits the licensee, by granting corresponding necessary usage rights, to permanently activate one of the following functions each for one user each of the Siedle Access software in version 3.x or 4.x.
• ALFA 270-0 (Access licence for third-party audio device): Activation of the following function: Connection of a VoIP audio telephone approved by Siedle or an analogue telephone to the Access system via an approved VoIP ATA adapter.
• ALFV 270-0 (Access licence for third-party video device): Activation of the following function: Connection of a VoIP video telephone approved by Siedle to the Access system.
• ALFS 270-0 (Access licence for third-party smartphone): Activation of the following function: Connection of a smartphone approved by Siedle to the Siedle Access software as a mobile indoor device with video. Remark: An additional app is required for operation. This must be purchased separately from an online store (e.g. The Apple App Store).
• ALFT 270-0 (Access licence for third-party tablet): Activation of the following function: Connection of a tablet approved by Siedle to the Siedle Access software as a mobile indoor device with video. Remark: An additional app is required for operation. This must be purchased separately from an online store (e.g. The Apple App Store).
• ALT 270-0 (Access licence for telephony connection): Activation of the following function: Connection of a telephone system to the Siedle Access software a) for using the telephone devices connected to the telephone system as indoor devices or b) for using the Access terminals as telephone devices. A separate licence is required per channel. Third-party devices are subject to authorization by Siedle.
• ALKNX 270-0 (Access licence for KNX connection): Activation of the following function: Importing and managing KNX addresses, assignment of binary data points as well as sending and receiving KNX telegrams according to level: 50 data points, 300 data points, more than 300 data points.
• ASC 170-0 (Access licence for concierge software): Activation of the following function: Connection of a PC with Access concierge software as communication centre.
• ASHT 170-0 (Access licence for in-house telephone software): Activation of the following function: Connection of a PC with Access in-house telephone software as a virtual in-house telephone with video.
• ASM 170-0 (Access licence for integration in third-party systems): Activation of the following function: Integration of Siedle Access in third-party systems.

4. Remuneration
4.1 If not otherwise specified in the licenser’s product description, the licensee is provided with the licence key which represents the subject matter of the contract in return for payment. The level of payment to be paid by the licensee is given in the relevant licenser’s product description. The specified prices are net prices excluding statutory VAT. There are no shipping costs.
4.2 If not otherwise specified in the licenser’s product description, the licensee can pay the amount owed by transfer or credit card. If paying by transfer, payment is due as soon as the licensee has received an invoice from the licenser.

5. Delivery
The licenser performs delivery by making the file with the ordered licence key available to the licensee by email.

6. Granting of usage rights, investment protection
6.1 The licence key provided entitles the licensee to permanent activation of additional licences for end users for a terminal to the extent described in the relevant product description as well as, if applicable, permanent activation of additional functions, given in the relevant product description, of a software from the licenser already pre-installed on the end user's terminal.
6.2 The licensee can have the usage rights resulting from the purchased licence key transferred to a replacement device of the same type within a period of two years from receiving the licence key by applying to the licenser, if the device originally assigned to the licence key should become unusable within the specified period (investment protection).

7. Liability for defects
The licenser is liable for defect in title or material for the licence key provided according to statutory regulations.

8. Applicable law, place of jurisdiction
8.1 The law of the Federal Republic of Germany applies to all legal relationships between the parties to the exclusion of the law on the international purchase of moveable goods.
8.2 If the licensee is acting as a trader, legal person under public law or special fund under public law with registered office in the territory of the Federal Republic of Germany, then the sole place of jurisdiction for all disputes arising from this contract is the place of business of the licenser. If the licensee’s registered office is outside the territory of the Federal Republic of Germany, then the place of business of the licenser is the sole place of jurisdiction for all disputes arising from this contract. However, in the aforementioned cases, the licenser is entitled to select the court at the licensee’s registered office in each case.
